1. Introduction

1.1 These terms of use ("Terms") apply to your use of cincicyberfleet.com (the "Site"). The Site is made available by Cincinnati CyberFleet LLC ("us", "we" or "our").

1.2 These Terms form a binding agreement between you, as a user of the Site, and us. By using the Site you confirm that you have read, understood and agree to these Terms in their entirety. If you do not agree to them, please stop using the Site.

1.3 The Site provides information about the company and its planned autonomous vehicle fleet operations, and allows visitors to contact us and to submit a non-binding letter of intent.

2. Not an offer of securities

2.1 Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security. Any offering is made only to investors whose accredited status has been verified, and only through definitive offering documents prepared by counsel, which control over anything stated here.

2.2 Submitting a letter of intent is not a subscription, reserves no slot, and creates no obligation on either you or us.

3. Privacy

3.1 Our privacy policy sets out how we collect, use, disclose and manage personal information. Please read it carefully. If you do not agree with it, please stop using the Site.

4. Your use of the Site

4.1 We grant you a personal, non-exclusive, non-transferable and limited right to access the Site for your own lawful use, subject to and in accordance with these Terms. All rights and title in the Site and its content not expressly granted under these Terms are reserved to us or the applicable licensor.

4.2 You must not submit false or misleading information, probe or disrupt the operation of the Site, attempt to access areas you are not authorised to reach, or harvest data from it. Automated access other than ordinary search-engine crawling is not permitted.

4.3 You must not remove or alter any copyright or other proprietary notice on the Site. No part of the Site may be reproduced, modified, redistributed or used for commercial purposes without our prior written permission. Photographs credited to third parties are used under their own licences, which are stated alongside them.

4.4 If you fail to comply with these Terms we may, without prejudice to any other rights, suspend or terminate your access to the Site or to any account or service we provide to you. We will give reasonable notice where we are able to.

5. Investor dashboard access

5.1 Investors we have accepted sign in through single-use links sent by email. A link is personal to its recipient, works once, and expires. You must not forward it or allow another person to use it.

5.2 Information shown in the dashboard is confidential to that investor and must not be republished. We may revoke any link or account at any time, including where we believe it has been shared.

6. Content and accuracy

6.1 Content is provided as at the date shown on the relevant page and may be out of date. Pages carrying regulatory or market information state the date on which their sources were last checked.

6.2 Figures described as illustrative, placeholder or forward-looking are exactly that. They are not a forecast, a guarantee, or a promise of any result, and they may change without notice.

7. Third-party links

7.1 The Site links to third-party material, including statutes, agency publications and news coverage. We do not control that material and are not responsible for it. Headlines aggregated on the news page remain the property of their publishers, and a link is not an endorsement.

8. Warranties and liability

8.1 The Site and all content, functionality and features within it are provided "as is" and without warranties or representations of any kind, express or implied. To the greatest extent permitted by law we disclaim all warranties of satisfactory quality and fitness for a particular purpose, and any warranty that content on the Site is accurate, complete or up to date. We do not warrant that the Site will be uninterrupted or error-free.

8.2 To the fullest extent permitted by law, we shall not be liable for any damages, loss or injury arising in connection with these Terms or your use of, or inability to use, the Site, however caused and whether arising in contract, tort (including negligence) or otherwise.

8.3 While we use reasonable efforts to keep the Site free from viruses and other malicious content, we do not assume responsibility for, and shall not be liable for, any damage to your equipment arising from your access to or use of the Site.

8.4 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, including liability under the federal securities laws.

9. Changes

9.1 We may change these Terms, or the features and content of the Site, at any time. The version posted on the Site is the one in force, and continued use after a change constitutes acceptance of it.

10. Third-party rights

10.1 These Terms are personal to you and us and may not be enforced by any third party.

11. Governing law and jurisdiction

11.1 These Terms are governed by the law of the state in which the company is organised, and any dispute arising in connection with them is subject to the exclusive jurisdiction of the courts of that state. The state of organisation has not yet been settled, so this clause cannot be completed here.
